Terms of Service

1. Acceptance of Terms

By accessing or using Tepun AI Report Builder ("Service"), operated by Tepun Inc. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes both you individually and that organization.

2. Service Description

Tepun AI Report Builder is a software-as-a-service (SaaS) platform that enables users to:

• Connect to various databases and data sources
• Create datasets through SQL queries, file uploads, and data transformations
• Generate reports, visualizations, and analytics using AI assistance
• Build multi-page workbooks with charts, tables, and summaries
• Schedule report refreshes and email delivery
• Export data in various formats (PDF, CSV, Excel)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account & Registration

3.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent that you meet these requirements.

3.3 Enterprise Accounts

Enterprise accounts have additional responsibilities including managing team member access, ensuring compliance with these Terms by all users, and designating account administrators.

4. Subscription & Billing

4.1 Subscription Plans

We offer various subscription plans with different features, token limits, and pricing. Details are available on our pricing page and are incorporated into these Terms by reference.

4.2 Free Trial

Individual accounts receive a 15-day free trial. A valid payment method is required. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged.

4.3 Billing

• Subscriptions are billed monthly on the 1st of each month
• First billing may be prorated based on signup date
• All fees are in US dollars and non-refundable except as required by law
• You authorize us to charge your payment method for all fees
• Failed payments may result in service suspension

4.4 Token Usage

AI features consume tokens based on usage. Token counts include a 2x multiplier to account for compute, storage, and infrastructure costs. Unused tokens do not roll over to the next billing period.

4.5 Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period. We do not provide refunds for partial months.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any illegal, harmful, or fraudulent activities
• Upload malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Reverse engineer, decompile, or disassemble the Service
• Share your account credentials or allow unauthorized access
• Use the Service to process or store data you do not have rights to
• Circumvent token limits, usage restrictions, or security measures
• Generate content that is harmful, abusive, defamatory, or violates others' rights
• Use AI features to generate misleading, deceptive, or fraudulent content

5.3 Enforcement

We reserve the right to investigate and take action against violations, including suspending or terminating accounts, removing content, and reporting to authorities.

6. Your Data & Content

6.1 Ownership

You retain all rights to data and content you upload, create, or generate using the Service ("Your Content"). We do not claim ownership of Your Content.

6.2 License to Us

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely to provide the Service to you. This license ends when you delete Your Content or close your account.

6.3 Your Responsibilities

You are responsible for:

• Ensuring you have all necessary rights to Your Content
• Compliance with data protection laws (GDPR, CCPA, etc.)
• Obtaining necessary consents for personal data you process
• Maintaining backups of Your Content (we are not a backup service)
• The accuracy and legality of Your Content

6.4 Data Processing

For enterprise customers processing personal data, a Data Processing Agreement (DPA) may be required. Contact us to request a DPA.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is owned by Tepun Inc. and protected by copyright, trademark, and other laws.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract source code.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation.

8. AI Services & Limitations

8.1 AI-Generated Content

You understand and agree that:

• AI outputs are generated based on patterns and may not be accurate
• AI-generated SQL queries should be reviewed before execution
• AI-generated reports and analysis may contain errors
• You are responsible for verifying AI outputs before relying on them
• AI should not be used for critical decisions without human review

8.2 No Guarantee of Accuracy

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT. You use AI features at your own risk.

8.3 Third-Party AI Providers

We use third-party AI services (e.g., OpenAI). Your use is subject to their terms and policies. Query content is sent to these providers for processing.

9. Third-Party Services

The Service integrates with third-party services including databases, payment processors, and AI providers. Your use of these services is subject to their respective terms. We are not responsible for third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OR FREEDOM FROM VIRUSES

WE DO NOT WARRANT THAT:

• The Service will meet your requirements
• The Service will be available at all times
• Results from the Service will be accurate or reliable
• Any errors will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tepun Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your Content or data
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws

13. Termination

13.1 Termination by You

You may terminate your account at any time through account settings or by contacting support.

13.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Pose a security risk

13.3 Effect of Termination

Upon termination:

• Your right to use the Service ends immediately
• You remain liable for fees incurred before termination
• We may delete Your Content after 30 days
• Sections that should survive termination will survive (e.g., liability limitations, indemnification)

14. Dispute Resolution

14.1 Informal Resolution

Before filing any claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in English, and the arbitrator's decision will be final.

14.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.

14.5 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and us.

15.2 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use after changes constitutes acceptance.

15.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.4 Waiver

Our failure to enforce any right does not constitute a waiver of that right.

15.5 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations.

15.6 Force Majeure

We are not liable for failures due to events beyond our reasonable control (natural disasters, war, terrorism, pandemics, etc.).

15.7 Export Compliance

You agree to comply with all applicable export laws and regulations.
